Contract, to which it has title. Said materials and documents shall be available to the Agency
from the moment of their preparation, and the Contractor shall deliver same to the Agency 5600633 T8800
whenever requested to do so by the Project Manager and/or Agency. The Contractor agrees
that same shall not be made available to any individual or organization, private or public, without
the prior written consent of the Agency in accordance with the Public Records Act.
INFRINGEMENT: Contractor represents and warrants that it has clear title to the Software. In
receiving Work and Documentation, Agency shall make no claim of trade secret, trade mark, trade
name, copyright, or patent infringement or other violations of any Proprietary Rights of any person
or entity.
Contractor shall defend, indemnify and hold harmless, Agency, its officers, directors, agents,
employees, successors, assigns, servants, and volunteers free and harmless from any and all 5600633 T8800
liability, damages, losses, claims, demands, actions, causes of action, and costs including
reasonable attorney’s fees and expenses arising out of any claim that use of the Work or
Documentation infringes upon any trade secret, trade mark, trade name, copyright, patent, or other
Proprietary Rights.
Contractor shall, at its expense and at Agency’s option, refund any amount paid by Agency under 5600633 T8800
the Contract, or exert its best efforts to procure for Agency the right to use the Work and
Documentation, to replace or modify the Work and Documentation as approved by Agency so as
to obviate any such claim of infringement, or to put up a satisfactory bond to permit Agency’s
continued use of the Work and Documentation.
NOTICES: Any notice may be served upon either party by delivering it in person, or by
depositing it in a United States Mail deposit box with the postage thereon fully prepaid, and
addressed to the party at the address set forth
